Philip A. Laskawy
Chairman of the Board
Philip Laskawy joined the accounting firm EY (formerly Ernst & Young) in 1961 and served as a partner in the firm from 1971 to 2001, when he retired. There, he also served in various senior management positions, including chairman and CEO. Most recently, Philip served as a director for Henry Schein, having served on the board since 2002 and as the lead independent director since 2012. He has also been on the board of directors of Loews Corporation and Lazard Ltd., and held leadership positions at the American Institute of Certified Public Accountants, International Accounting Standards Committee Foundation, General Motors Corporation, and Federal National Mortgage Association (Fannie Mae). Philip holds a B.A. in economics from Wharton School of the University of Pennsylvania. As a certified public accountant with over 50 years of experience, he brings exceptional skills in corporate finance and accounting, corporate governance, compliance, disclosure and international business conduct to the Covetrus board.
Deborah G. Ellinger
Deborah Ellinger is a senior advisor for The Boston Consulting Group and an independent director of iRobot Corp, a technology company. Her past leadership roles include: president and CEO of aesthetic treatment company Ideal Image, chairman and CEO of The Princeton Review, president of Restoration Hardware, and president and CEO of Wellness Pet Food. Deborah has also served as an executive vice president at CVS Pharmacy, senior vice president at Staples, Inc., and partner at The Boston Consulting Group. She brings extensive board experience, having served on boards for Interpublic Group of Companies, National Life Group, Sealy, Inc., and several private companies. Deborah has lived and worked in Europe, Asia and the United States. She holds an M.A. and B.A. in law and mathematics from the University of Cambridge, England and is qualified as a barrister-at-law in London. The Covetrus board is excited to have Deborah’s extensive experience in international consumer-oriented businesses, including in the animal health and pharmacy markets, and her global business perspective.
Sandra L. Helton
Sandra Helton was executive vice president and CFO of Telephone and Data Systems, Inc., (TDS) where she was responsible for finance, information technology, and other corporate functions. Prior to TDS, she spent over 20 years with tech company Corning Incorporated in engineering, strategy and finance positions, eventually becoming senior vice president and treasurer. Sandra also serves on the boards of directors for Principal Financial Group, Inc. and OptiNose, Inc. Previously, Sandra has held positions as vice president and corporate controller of Compaq Computer Corporation and on the boards of directors of TDS, US Cellular Corporation, Covance, Inc., and Lexmark International, Inc. She is currently a trustee of two non-profit organizations, Northwestern Memorial Foundation and Chicago Architectural Foundation. Sandra holds a B. S. in mathematics from the University of Kentucky and a S.M. from Massachusetts Institute of Technology’s Sloan School with double majors in finance and planning & control. She brings her global executive experience in corporate strategy, finance, accounting and control, treasury, investments, information technology, and other corporate administrative functions, as well as her extensive corporate governance experience to the Covetrus board.
Mark J. Manoff
Mark Manoff was a partner of EY from 1990 until his retirement as Americas vice chair. During his time with EY, Mark held various positions including New York office managing partner and Northeast Region managing partner. He also founded and led the EY Center for Board Matters. Mark is a member of the board of directors of The First Tee of Metropolitan New York, and previously served on the board for Roundabout Theatre. He is on the advisory board (previously serving as chair) at the University of Maryland’s Robert H. Smith School of Business, where he received his B.S. in accounting. Mark contributes his extensive experience in accounting and corporate governance to the Covetrus board.
Edward M. McNamara
Edward (Ted) McNamara served as a member of the Vets First Choice board. He is the co-founder and president of TeamLaunch, LLC, a venture-building company and CFO and director of RCW Inc., a luxury product company. Before founding TeamLaunch, Ted served as an executive in residence at General Catalyst Partners focusing on consumer growth opportunities. He has held various leadership positions, including CFO of Retail Convergence Inc., CFO, COO, president and interim CEO at two operating businesses of Cendant Corporation, including Wright Express, Inc. and Cendant’s Travel Distribution Division, chairman of the board of Wright Express Financial Services, Inc., and member of the board of directors of Counter Brands, LLC. He began his career at PriceWaterhouse, and moved onto a number of accounting, finance and administrative positions for Abex Inc., an aerospace manufacturing company. Ted holds a B.S. from Providence College, and offers his significant finance and management experience in high growth businesses as well as his deep current knowledge of internet and digital-based commerce across multiple industries to the Covetrus board.
Steve Paladino has been Henry Schein’s executive vice president and CFO since 2000, has served as a member of their board since 1992, and is a member of their executive management committee. Henry Schein is also where Steven began his career in 1987. Before joining Henry Schein, Steven was a certified public accountant, most recently with the international accounting firm of BDO USA, LLP. He has also served as a Nasdaq Listing and Hearing Review Council member, currently serves on the board of directors of MSC Industrial Direct Co., Inc., and is a member of its audit committee and compensation committee. Steven holds a B.A. from Bernard M. Baruch College, and brings extensive financial, accounting and industry expertise and a strong, credible reputation within the financial industry to the Covetrus Board.
Ravi Sachdev served as a member of the Vets First Choice board. Today, he is a partner of private equity firm CD&R, focusing on the healthcare sector. Previously, Ravi held positions as a managing director and co-head of healthcare services at J.P. Morgan Chase & Co., managing director at Deutsche Bank Securities, Inc., and director at Deutsche Bank AG, vice president at Peter J. Solomon Company. He was also a member on the board of directors of Healogics, Inc., Agilon Health, Inc., and naviHealth, Inc., a private technology enabled health services company. Ravi holds a B.A. from the University of Michigan. His 20 years of professional experience in investment banking and private equity, thorough understanding of the financial issues affecting public companies, insights into business valuation and practical orientation with respect to acquisitions and integrations are key qualities he brings to the Covetrus board.
Ms. Wienbar has extensive Board governance experience in public and private companies. In addition to her position on the Covetrus board, she is currently serving on the Resideo Technologies board (NYSE: REZI), and the Colfax Corp board (NYSE: CFX). She brings a wealth of experience in software-as-a-service (SaaS) businesses and global marketing and has expertise at the intersection between software and distribution. Ms. Wienbar is the former CEO of Hackbright Academy, an engineering school for women and, before that, was a venture capitalist with ScaleVP, worked in marketing for several software companies (Adobe Systems, Amplitude, and Critical Path) and was with Bain & Company.
Benjamin Wolin is the president and chief executive officer of Covetrus. He has extensive experience with public company board governance, as well as financial and operating expertise. Previously, Wolin was the CEO and co-founder of Everyday Health, Inc., a communications and marketing platform for consumers, doctors and healthcare companies, and a member of its board of directors for 14 years. Today, he serves on the board of directors of Diplomat Pharmacy, Inc., lead independent director of the board, member of the audit committee, and chair of the nominating and corporate governance committee. Benjamin is also chairman of the board of Rockwell Medical, Inc. and member of the board of directors of AdhereTech and SourceMedia, LLC. He received his B.A. in history from Bowdoin College.
